1. Agreement
These Terms of Service (the “Terms”) are between Syte Corp (“Syte”, “we”) and the individual or organization using the Service (“you”). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
If your organization has signed a separate written agreement or order form with Syte, that agreement controls where it conflicts with these Terms.
2. Accounts
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure — whether you sign in with a password or through Google. Notify us promptly at contact@livespaces.io if you suspect unauthorized access.
Accounts are for named individuals. Do not share credentials across people.
3. The Service
Syte provides software for methane leak detection management: mapping detection search areas, recording and grading confirmed leaks, tracking repair deadlines, planning surveys, and related reporting and analysis.
Not a substitute for your own obligations
This is important. Syte is a decision-support and record-keeping tool. It is not a safety system, not an emergency response system, and not a substitute for your organization’s own regulatory, engineering, and safety judgment.
- Detections, grades, deadlines, and predictions produced by the Service are estimates derived from survey data and models. They may be incomplete or wrong, and they do not replace physical inspection and verification by qualified personnel.
- You remain solely responsible for compliance with all applicable law and regulation, including EPA and state leak detection, repair, and reporting requirements.
- If you suspect an active gas leak posing a danger to life or property, contact emergency services and your gas operator immediately. Do not rely on the Service to escalate it.
4. Your data
You retain all ownership of the data you upload to or generate through the Service. You grant Syte a limited license to host, process, and display that data solely to provide the Service to you and as described in our Privacy Policy.
You are responsible for having the rights necessary to upload the data you upload, and for its accuracy. On termination you may export your data; see section 10.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to derive the source code of the Service.
- Resell, sublicense, or provide the Service to third parties outside your organization.
- Probe, scan, or test the vulnerability of the Service without our prior written consent.
- Upload malware, or data you lack the right to share.
- Use the Service to violate any law, or to interfere with its operation or other customers’ use of it.
- Circumvent usage limits or access controls.
6. Third-party services
The Service integrates third-party components, including Google Sign-In, cloud infrastructure, and external weather and geospatial data sources. Your use of Google Sign-In is additionally governed by Google’s own terms. We are not responsible for the availability or accuracy of third-party services, though we will make reasonable efforts to maintain the integrations.
7. Fees
Access to the Service is provided under the plan or order form agreed with your organization. Fees are non-refundable except as required by law or expressly stated in that agreement. We may change pricing with at least 30 days’ notice, effective at your next renewal.
8. Confidentiality
Each party may receive non-public information from the other. Each agrees to protect the other’s confidential information with at least reasonable care and to use it only to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully received from a third party.
9. Disclaimers and limitation of liability
The Service is provided “as is”. To the maximum extent permitted by law, Syte disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that detections and predictions will be accurate or complete.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Syte’s total aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you to Syte in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, gross negligence, or death or personal injury caused by negligence.
10. Term and termination
These Terms apply for as long as you use the Service. You may close your account at any time. We may suspend or terminate access if you materially breach these Terms and do not cure the breach within 30 days of notice, or immediately where the breach poses a security or legal risk.
On termination, you may request an export of your data within 30 days. After that we may delete it in accordance with our retention practices.
11. Changes to these Terms
We may update these Terms. Material changes will be announced in the product or by email before they take effect, and the effective date above will be updated. Continued use after that date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located there.
